Terms & Conditions

Last updated: 2 October 2026

These Terms & Conditions ("Terms") govern your use of the UK Company Intelligence website and services at ukcompanyintel.co.uk (the "Service"). UK Company Intelligence is a product of Rapid Agentic Development Ltd, a company registered in England and Wales (company number 17458231, registered office 181 Coniscliffe Road, Darlington, England, DL3 8DE), which operates the Service ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" — your registered user account on the Service.
  • "Content" — any data, text, reports, or analysis generated by or through the Service. "Content" includes Outputs.
  • "Companies House Data" — publicly available information retrieved from the Companies House API.
  • "AI Interpretation" — analysis generated by artificial intelligence models integrated into the Service.
  • "Outputs" — all information the Service generates or presents about a company or individual, including risk ratings and scores, risk signals and screening results (for example sanctions, disqualification, insolvency, tax-list, payment-practice and regulatory-status signals), similarity-based matches, AI Interpretations, and reports.
  • "Service Tier" — the subscription level associated with your Account (e.g. Free, Standard, Enterprise).
  • "Billing Account" — the account against which usage limits and charges are recorded. Each Service Tier sets the monthly limits described in Section 5 for its Billing Account.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. By using the Service you represent that you meet these requirements.

2A. Business Use; Consumer Rights

The Service is intended for use by businesses and professionals in the course of their business (for example due diligence, credit, compliance, and research). By using the Service you represent that you are acting in the course of a business and not as a consumer. Where, despite this, you are a "consumer" as defined by the Consumer Rights Act 2015, nothing in these Terms excludes or limits any right or remedy you have under that Act or other mandatory consumer-protection law that cannot lawfully be excluded; where a provision of these Terms conflicts with such a right, that right prevails and the remainder of these Terms continues to apply.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate and up-to-date information when registering.
  • You must notify us immediately if you suspect unauthorised access to your Account.
  • We reserve the right to suspend or terminate Accounts that violate these Terms.

4. Permitted Use

You may use the Service for lawful business and personal research purposes only. You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Service, other Accounts, or our systems.
  • Scrape, crawl, or use automated means to access the Service beyond normal API/UI usage.
  • Redistribute, resell, or sublicense Content generated by the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit malicious code, viruses, or harmful data.

5. Service Tiers, Limits and Fair Use

Access to features and usage limits — tracked companies, reports per month, AI features, data retention — are determined by your Service Tier. We reserve the right to modify tier features, pricing, and limits with reasonable notice. Continued use after such changes constitutes acceptance.

5.1 Monthly report limit ("up to" cap)

Each Service Tier carries a monthly upper limit on the number of AI-generated reports your Billing Account may produce. This is an "up to" cap, not a guarantee: it is the maximum number of reports we will permit on the plan in a given calendar month, but the actual number you can run may be lower depending on the AI cost incurred (see Section 5.2) and the underlying complexity of each report. When the report cap is reached, further AI report generation is blocked until the next calendar month or until you upgrade to a higher tier. Pay-as-you-go ("Deep Dive") report purchases are not counted against the monthly report cap.

5.2 Cost circuit-breaker (independent hard gate)

In addition to the report-count cap, we enforce a per-Billing-Account ceiling on AI usage cost each calendar month. The cost ceiling operates as an independent hard gate: if the projected cost of the next report would exceed the ceiling, that report is blocked even if you have not yet reached the report-count cap in Section 5.1. The cost ceiling protects both us and you from runaway charges caused by unexpected model behaviour, unusually expensive filings, or compromised credentials. The current ceilings are displayed on your Dashboard and may be revised with reasonable notice.

5.3 Fair use

Within your Service Tier you are expected to use the Service in a manner consistent with normal individual or business research — typically a small number of reports per company, a stable set of tracked companies, and human-driven workflow. We may throttle, suspend, or terminate Accounts that exhibit patterns inconsistent with normal use, including but not limited to:

  • Automated or scripted generation of reports at a rate or volume disproportionate to a reasonable paying customer's needs.
  • Repeated rapid upgrade/downgrade cycles intended to access higher-tier features without paying for them.
  • Use of multiple Accounts or billing accounts to circumvent the monthly limits described in section 5.1.
  • Aggregating or redistributing Content to third parties at scale without our written consent (see Section 9).
  • Sustained usage that materially exceeds the soft fair-use signals for your tier (token volume, AI request frequency) over multiple consecutive months.

Where reasonably practicable we will contact you before taking any restrictive action, but we reserve the right to act immediately where we believe the integrity, security, or cost of the Service is at material risk.

5.4 Combined effect of the limits

The report-count cap (Section 5.1), the cost circuit-breaker (Section 5.2), and the fair-use signals (Section 5.3) operate together. Any one of them can pause or restrict new AI report generation for the remainder of a calendar month independently of the others. Where pricing or marketing materials state a "report count" for a tier, that figure represents the report-count cap and is therefore an upper bound; actual usage in a given month may be lower if the cost or fair-use gates engage first. Limits and ceilings for your current Service Tier are visible on your Dashboard at all times.

6. Source Data

The Service draws on publicly available and third-party data sources, including Companies House, The Gazette, HM Revenue & Customs publications, the OFSI consolidated sanctions list, and the Financial Conduct Authority register. Companies House data is provided under the Open Government Licence v3.0 and is subject to Companies House terms. We do not create, verify, or warrant the accuracy, completeness, currency, or reliability of this source data, which may contain errors or omissions introduced by the source, the publisher, or the filing party, and may be out of date between our synchronisation cycles. Where an Output is derived from this data, you must verify it against the original official source before relying on it.

We may suspend, remove, or replace any third-party data source without notice where that source becomes unavailable or inaccurate, or where legal or licensing obligations require us to do so. The availability of any particular data source or screening feature is not guaranteed and may change.

7. Nature of the Outputs

Please read this section carefully.

  • The Outputs are automated opinions and assessments generated from public-record and third-party data. They are provided for information only and are not statements of fact about any company or individual.
  • Risk ratings, scores, signals, and matches are algorithmic indicators, not findings, verdicts, or assertions of wrongdoing, insolvency, sanction, default, or misconduct. Similarity-based matches are probabilistic and may be false positives; a match is a lead to be verified, never a confirmed identification.
  • The Outputs are not financial, investment, legal, tax, accounting, credit, or other professional advice, and are not a recommendation to take or refrain from any action (including any decision about a company or individual). Nothing in the Service constitutes professional advice; you should consult qualified professionals before making any business or investment decision based on Content obtained through the Service.
  • AI Interpretations are generated using third-party artificial intelligence models and may produce inaccurate, incomplete, misleading, inconsistent, or fabricated ("hallucinated") information. AI Interpretations should always be independently verified.
  • We make no representation or warranty as to the accuracy, reliability, completeness, or fitness for purpose of any Output, and you assume all risk associated with your use of or reliance on the Outputs.
  • We reserve the right to correct, amend, withdraw, or regenerate any Output where we become aware of inaccuracies or of changes in the underlying source data.

Screening and matching features.

Where enabled, the Service can cross-reference companies and directors against official lists — for example HMRC's published named tax-avoidance schemes list. All matches are similarity-based and are provided as investigative leads, not confirmed identifications or assertions of wrongdoing. Automatic enrichment in a report requires multi-factor evidence (for example name plus postcode plus address-line corroboration) before a match is surfaced; manual investigative searches from the directors page are user-initiated and are framed as "Possible match — manual review required" regardless of computed similarity. You must verify any match against the original official publication before relying on it, and you must not represent any match as a confirmed identification of a person or entity. The Service may add further screening features that compare companies and named individuals against other official sources (for example sanctions lists, the register of disqualified directors, or personal-insolvency notices). These are introduced progressively and are governed by the same principles set out above and in our Privacy Policy (Section 6): any match is an investigative lead to be verified against the official source, not an assertion of wrongdoing.

7B. Your Responsibilities When Using Outputs

You agree that you will:

  • independently verify any Output against the original official source before relying on it or taking any decision based on it;
  • not treat any Output as the sole basis for a decision that affects a company or individual — in particular any adverse decision about credit, lending, employment, contracting, or the continuation of a business relationship — and will apply your own human judgement and enquiry;
  • not present, republish, or redistribute any Output as a verified fact, a confirmed identification, or an assertion of wrongdoing;
  • where you process any personal data contained in an Output (for example information about a director or other individual), comply with all applicable data-protection law, including ensuring you have your own lawful basis for that processing; and
  • use the Service and the Outputs only for lawful purposes and in accordance with these Terms.

8. Service Availability

We do not guarantee uninterrupted or error-free availability of the Service. Access may be suspended or restricted from time to time — including for maintenance, upgrades, or reasons outside our reasonable control — and we may modify or discontinue features of the Service with reasonable notice where practicable. The Service is provided on an "as available" basis.

9. Intellectual Property

  • We own all rights in the Service, including its design, software, algorithms, scoring and risk-assessment methodology, and branding, and in the datasets we compile (excluding the underlying third-party source data, such as Companies House filings, which remains subject to its own terms).
  • You retain ownership of any data you input into the Service. By using the Service you grant us a limited licence to process that data solely to provide the Service to you.
  • Reports and analyses generated for you may be used by you for your own lawful business purposes. Reports remain your intellectual property only to the extent of your own input and lawful use; the underlying platform, software, algorithms, scoring methodology, and datasets remain our intellectual property. Mass redistribution or commercial resale of Outputs requires our prior written consent.

10. Data Retention and Deletion

Your analysis data and downloaded documents are retained according to the retention policy of your Service Tier and may be automatically purged after the applicable period. You can manually delete tracked companies and their associated data at any time. See our Privacy Policy for full details.

10A. Data Protection

We process personal data contained in public records (for example the personal data of company officers) as a controller for the purposes described in our Privacy Policy. Where you extract, retain, or further process any personal data obtained through the Service, you do so as a separate and independent controller and are responsible for your own compliance with data-protection law in respect of that processing. Each party will comply with applicable data-protection law in performing these Terms.

11. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of (or inability to use) the Service.
  • Subject to the paragraph below, our total aggregate liability to you for all claims arising under or in connection with these Terms or the Service, whether in contract, tort (including negligence), misrepresentation, or otherwise, shall not exceed the greater of (a) the total fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) £5,000.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rapid Agentic Development Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service or the Outputs;
  • Your republication, redistribution, or presentation of any Output as fact;
  • Your reliance on any Output contrary to Section 7B, or any decision you take based on an Output;
  • Your processing of personal data obtained through the Service;
  • Your violation of these Terms or of any applicable law; or
  • Any third-party claim arising from any of the foregoing.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

14. Modifications

We may revise these Terms at any time by posting an updated version on the Service. Material changes will be communicated via email or prominent notice. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rapid Agentic Development Ltd regarding the Service and supersede all prior agreements.
